CR Land Code of Conduct for Suppliers
1 Purpose
1.1 In line with the principles of openness, impartiality, fairness, and efficiency, China Resources Land Limited ("CR Land" or the "Company") is committed to building a sustainable supply chain ecosystem, and comprehensively creating a standardized, efficient, open, and transparent business environment.
1.2 The Company complies with laws and regulations such as the Tendering and Bidding Law of the PRC, and the Government Procurement Law of the PRC, and incorporates ESG and sustainable development standards into regulations such as the CR Land Regulations on Procurement Management, the CR Land Regulations on Supplier Management, the CR Land Integrity Cooperation Agreement, and the CR Land Transparency Declaration. The Company selects honest, trustworthy, and law-abiding suppliers, and prioritizes suppliers who can implement sustainable development policies that are beneficial to society and the environment in their business on an equal footing. Unified sustainable development values and implementation standards have been established together with partners to achieve mutual benefit and win-win development.
1.1 This Policy is applicable to CR Land and its major regions, business divisions and specialized companies. All business partners, including partners, associated companies, contractors and suppliers, are encouraged to comply with this Policy.
2 Business Ethics
Suppliers shall follow the principles of ethics and integrity in business:
Comply with international standards, applicable domestic and local laws and regulations;
Shall not engage in or tolerate any form of embezzlement, corruption and extortion; shall not provide bribery or other illegal benefits for business partners or accept bribery from them;
Ensure fair competition and comply with all applicable antitrust laws and regulations;
Protect and properly use confidential information, ensuring that the secrets and effective intellectual property of all employees and business partners are protected;
Provide employees with channels to report issues or potential illegal activities in their work.
3 Labor and Human Rights
Suppliers shall protect the human rights of their own employees and treat them with respect:
Prohibit child labor;
Prohibit enslaved and forced labor;
Treat all employees equally regardless of race, nationality, gender, age, physical characteristics, origin, disability, religion, family status, pregnancy, sexual orientation, gender identity, and gender performance, and provide an inclusive and supportive workplace;
Provide employees with compensation that meets the legal requirements of the local country;
Provide sufficient training and educational opportunities for employees, if possible.
4 Occupational Health and Safety
Suppliers shall provide a safe and healthy workplace:
Comply with applicable health and safety regulations, and establish and certify an occupational health and safety management system in accordance with common industry standards, such as OHSAS 18001 and ISO 45001;
Provide appropriate safety equipment and protective equipment for employees, reduce health and safety risks in workplace, and ensure that industrial workers have suitable working and living conditions;
Provide training on rules for construction site safety and related work for employees to ensure their safety.
5 Product Quality
Suppliers shall control quality in their business procedures:
Comply with applicable quality regulations, and establish and certify a quality management system in accordance with common industry standards such as ISO 9001;
Meet the quality requirements recognized or agreed upon in the contract, provide regular training, and ensure proper implementation.
6 Environmental Protection
Suppliers shall operate in an environmentally-friendly and efficient manner:
Comply with applicable environmental regulations, and establish and certify an environmental management system in accordance with common industry standards such as ISO 14001 and ISO 50001;
Adopt appropriate management, estimation, and control procedures to prevent or reduce adverse impacts on the environment;
Reduce emissions to the environment and save natural resources through measures such as optimizing manufacturing, maintaining equipment, and recycling and reusing materials;
Adopt climate-friendly products and procedures to reduce energy consumption and greenhouse gas emissions.
7 Supplier and Subcontractor Management
Suppliers shall take appropriate measures to promote sustainable development of supply chains:
Encourage suppliers to communicate the requirements of this Policy to secondary suppliers and more partners to jointly promote sustainable development of supply chains;
Pay salaries to their suppliers and subcontractors on time.
8 Audit and Supervision
8.1 Suppliers shall maintain all policy documents or relevant records to demonstrate their compliance with the Code of Conduct, and shall provide necessary documents as required by CR Land.
8.2 CR Land has the right to review supplier's internal policies, related business, facilities, and provided products and services on its own or on behalf of a third party upon reasonable notice.
8.3 If a supplier violates this Code of Conduct, CR Land will require the supplier to take necessary corrective measures within a limited period of time according to the violation. If the violation is serious or corrective measures are not taken in a timely manner, the Company has rights to take corresponding actions, including but not limited to canceling bidding qualifications, terminating cooperation, or including the supplier into the blacklist.
